Affiliate Programme — Terms & Conditions

These Terms & Conditions ("Terms") govern participation in the affiliate programme (the "Programme") operated by Javaan Cosmetics LTD, a company registered in England and Wales ("the Company", "we" or "us").
By ticking "I agree", submitting your affiliate application, or using your Affiliate Code, you ("the Affiliate", "you") confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not accept an Affiliate Code or promote the Company's products.
1. Definitions
- "Affiliate Code" means the unique personalised discount/tracking code issued to you for use in promoting the Company's products.
- "Commission" means the percentage of Net Sale Value payable to you under clause 4.
- "Net Sale Value" means the sale price actually paid by a customer, excluding VAT, shipping charges, and any amount subsequently refunded or charged back.
- "Qualifying Sale" means a sale of the Company's products made using your Affiliate Code, which is not cancelled, refunded, or fraudulent.
2. Status
You act as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and the Company. You are responsible for your own tax and National Insurance affairs in respect of any Commission received.
3. Affiliate Benefits
Subject to these Terms, while you remain an active Affiliate you will receive:
- Commission of 10% of the Net Sale Value of each Qualifying Sale;
- A personal discount of 50% off the Company's listed retail price for your own private use (not for resale);
- A personalised Affiliate Code offering your referred customers a discount, at the rate set by the Company from time to time and communicated to you.
The Company may, at its sole discretion, offer additional bonus commission or incentives to top-performing Affiliates. Any such bonus is discretionary and does not create an ongoing entitlement.
4. Commission Payments
- Commission is calculated monthly on Qualifying Sales in the preceding calendar month.
- Commission is paid within 30 days of month-end, by bank transfer to an account nominated by you, subject to a minimum payment threshold of £20 (amounts below this roll over to the next payment cycle).
- No Commission is payable on cancelled, refunded, returned, or fraudulent orders. Where Commission has already been paid on such an order, the Company may deduct the equivalent amount from a future payment.
- The Company reserves the right to withhold or reclaim Commission generated through fraudulent, abusive, or self-referral activity.
5. Use of Your Affiliate Code
- Your Affiliate Code is for promotional use with genuine third-party customers only. You must not use it to purchase products for yourself beyond the personal discount in clause 3, and must not share it for resale or bulk redemption by unrelated parties.
- You must not use your Affiliate Code, or otherwise incentivise, arrange, or encourage any customer to post a paid, fake, or incentivised product review on Amazon or any other marketplace. Doing so breaches marketplace policies and this clause, and may result in immediate termination.
- You must not bid on the Company's brand name or trade marks as paid search keywords, or otherwise engage in conduct designed to intercept traffic that would have reached the Company directly.
6. Marketing Conduct
- You must not make any medical, therapeutic, or clinical claims about the Company's products (for example, claims that a product "cures", "stops", or "regrows" hair loss) beyond claims expressly pre-approved by the Company in writing. Unsubstantiated claims may cause the product to be treated as a medicinal product under UK cosmetics regulation, which the Company is not licensed to sell.
- You must clearly and prominently disclose your affiliate relationship with the Company in any content promoting the products (for example using "#ad" or "#affiliate"), in line with UK Advertising Standards Authority (CAP Code) requirements for identifying paid promotions.
- You must not make false, misleading, or disparaging statements about the Company, its products, or its competitors.
- All marketing content must comply with applicable advertising law and the Company's brand guidelines as provided to you from time to time.
7. Intellectual Property
The Company grants you a limited, non-exclusive, non-transferable, revocable licence to use its name, logo, and approved product images solely to promote the products under these Terms. This licence ends immediately on termination of your participation in the Programme. You acquire no other rights in the Company's intellectual property.
8. Confidentiality and Data Protection
You must keep confidential any non-public information you receive about the Company's business, pricing, or strategy. Where you process any personal data of customers in connection with the Programme, you must comply with UK GDPR and the Data Protection Act 2018, and must not use such data for any purpose other than as instructed by the Company.
9. Term and Termination
- The Programme relationship is ongoing and may be terminated by either party at any time, for any reason, on 14 days' written notice (including by email).
- The Company may terminate immediately, without notice, if you breach these Terms (including clauses 5 or 6), engage in fraudulent activity, or bring the Company into disrepute.
- On termination, your Affiliate Code will be deactivated and the licence in clause 7 ends immediately. Commission properly earned on Qualifying Sales made before the termination date remains payable in accordance with clause 4.
10. No Guarantee
Participation in the Programme is not exclusive, and the Company does not guarantee any minimum level of sales, commission, or continued availability of any particular discount rate. Discount and commission rates may be varied by the Company on reasonable notice.
11. Liability
You agree to indemnify the Company against any losses, costs, or claims arising from your breach of these Terms, including any regulatory or marketplace action arising from claims or conduct in breach of clauses 5 or 6. To the extent permitted by law, the Company's liability to you under these Terms is limited to the Commission paid or payable to you in the 3 months preceding any claim.
12. Changes to These Terms
The Company may update these Terms from time to time. Continued use of your Affiliate Code after notice of a change constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
